Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ToneForge platform, website, and related services (collectively, the "Service") operated by ToneForge ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Service Description
ToneForge provides an AI-powered online audio mastering platform. Users may upload audio files, receive automated analysis and mastering, and download processed results. The Service is provided on an "as-is" and "as-available" basis. We do not guarantee that results will meet any particular subjective standard of audio quality.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By registering, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.
3. Account Registration
To access certain features, you must register an account by providing a valid email address and creating a password. You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use.
4. Email Verification
You must verify your email address before accessing core features. We may restrict or terminate accounts with unverified email addresses after a reasonable period.
5. Subscriptions and Plans
ToneForge offers Free, Pro, and Studio subscription tiers. Paid plans are billed on a recurring basis (monthly or annually) through PayPal. By subscribing, you authorize us to charge your selected payment method at the beginning of each billing period. Plan features and pricing are described on our website and may change with prior notice.
6. Free Tier and Fair Use
Free-tier users are subject to daily processing limits as described in our Fair Use Policy. Abuse of the free tier — including the creation of multiple accounts to circumvent limits — may result in account suspension.
7. Payment and Billing
All fees are stated in the currency displayed at checkout and are exclusive of applicable taxes unless otherwise stated. You are responsible for all taxes associated with your subscription. We reserve the right to change pricing with at least 30 days' notice before the next billing cycle.
8. Cancellation and Renewal
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that period expires. There are no partial refunds for unused portions of a billing period except as described in our Refund Policy.
9. File Upload and Storage
You may upload audio files in supported formats (WAV, AIFF, FLAC, MP3) up to the maximum file size for your plan. Uploaded files and processed results are stored temporarily and are automatically deleted after the expiry window (typically one hour for Free users, longer for paid plans). We do not provide permanent storage.
10. Intellectual Property — Your Content
You retain all ownership rights to the audio content you upload ("Your Content"). By uploading, you grant us a limited, non-exclusive, worldwide license to process, analyze, and store Your Content solely for the purpose of providing the Service. This license terminates when your files are deleted from our systems.
11. Intellectual Property — Our Service
The Service, including its software, algorithms, user interface, documentation, branding, and all related intellectual property, is owned exclusively by ToneForge and its licensors. You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the Service.
12. Prohibited Use
You agree not to:
- Upload content that infringes any third-party intellectual property rights.
- Upload illegal, harmful, or obscene material.
- Attempt to gain unauthorized access to the Service, its servers, or other user accounts.
- Use automated scripts, bots, or scrapers to interact with the Service without our written permission.
- Interfere with or disrupt the integrity or performance of the Service.
- Resell, sublicense, or commercially redistribute the Service or its outputs without authorization.
- Create multiple free accounts to circumvent usage limits.
- Use the Service for any purpose that violates applicable law.
13. Content Responsibility
You are solely responsible for the legality and ownership of files you upload. We do not pre-screen uploaded content and assume no liability for your files. We reserve the right to remove content that violates these Terms.
14. Service Availability and Modifications
We aim to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuance.
15. Limitation of Liability
To the maximum extent permitted by applicable law, ToneForge and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, revenue, profits, or business opportunities. Our total aggregate liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
16. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
17. Indemnification
You agree to indemnify, defend, and hold harmless ToneForge and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
18. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Any provisions that by their nature should survive termination will remain in effect.
19. Governing Law and Disputes
These Terms are governed by the laws of Switzerland, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts of Zurich, Switzerland, unless mandatory consumer-protection laws in your jurisdiction provide otherwise.
20. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
21. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
22. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Fair Use Policy, Upload Policy, and Refund Policy, constitute the entire agreement between you and ToneForge regarding the Service and supersede all prior agreements.
